Some updates:

The SEC has been making rules for fund managers lately. There was a big development last week when the SEC adopted controversial new rules that will substantially alter the reporting, disclosure, recordkeeping, and other obligations of investment advisers to private funds. You can read more about it here. (https://www.haynesboone.com/news/alerts/sec-adopts-significant-new-rules-for-advisers-and-private-funds)

The SEC continues to go after crypto, with mixed success. After the Ripple XRT loss, it recently won on a similar issue and settled a case alleging that sales of nonfungible tokens violated securities laws.

Curious about how to flip your non-US company into a Delaware corporation? Find out here. How about tax aspects of SAFEs and convertibles. Listen here.

Tune into the 10,000 Startups Podcast on Apple Podcasts for practical startup legal advice. Last week I spoke with Tom Moore, a Palo Alto Haynes and Boone litigator, about how and why you should avoid costly startup disputes. I also spoke with Phil Albert, San Francisco partner at Haynes and Boone, about patents and intellectual property
